Lockwood to Build Innovative Technologies for Mobile Asset Management and Payment Systems
ST. PETERSBURG, Fla., March 19, 2012 /PRNewswire/ -- Infrax Systems, Inc., (OTCBB: IFXY), a global provider of unified Smart Grid-related products and services for the Energy and Utility industries, announced today that its Board of Directors has approved the final "record date" and the adjusted "dividend rate" of the stock of Lockwood Technology Corporation to its shareholders. The record date for determining the holders of Infrax's common stock who will receive the dividend will be changed to April 19th, 2012. The dividend rate has been changed to 1 (one) share of Lockwood for every 10 (ten) shares of Infrax Systems. The change in the dividend rate was based on the completed internal valuation of Lockwood Technology and an estimated IPO price range of $1 to $3 per share (price not guaranteed; it is based on market condition, Lockwood's revenue, and investor demand). The change in the "record date" is due to the pending acquisition of SPC. As previously mentioned, upon the completion of the transaction, Infrax Systems will maintain a 30% ownership position in Lockwood Technology, further enhancing its asset base and allowing for continued shared development of new utility focused technology solutions. The actual distribution date of the dividend will be announced when Lockwood Technology gets clearance from SEC and FINRA.

- Open mobile network codes simplify a switch from one provider to another
Unless the countries in Southeast Asia create a specific regulatory framework,
machine-to-machine communication (M2M) will be unable to develop into a successful market.
More than any other factors, the high costs for switching providers and the expense of
roaming - a consequence of the almost complete lack of specific M2M fees - are obstacles
to M2M growth. In its analysis of regulatory factors, the management consultancy Detecon
International has also identified the provision of an adequate number pool for M2M
applications and the establishment of suitable integration platforms as important
prerequisites.
Whether Singapore, Malaysia, Indonesia, or Thailand - none of these countries
currently have a regulatory framework specific for M2M in place. However, Singapore and
Malaysia, in contrast to Indonesia and Thailand, have developed bilateral M2M roaming
regulations and launched various initiatives which, among other objectives, promote the
technological infrastructure of M2M projects. "Thailand and Indonesia should follow this
example by offering manufacturers and users dedicated M2M rates as well. Otherwise, there
is no option but to fall back on expensive international roaming fees," emphasized Markus
Steingröver, Managing Partner at Detecon International. The allocation of additional 3G
frequencies for M2M applications would be advisable for Thailand.
Detecon recommends the introduction of open mobile network codes (MNCs) as well so
that users would be able to switch M2M providers. In this type of system, users or
intermediaries would have their own MNC so that the expense and effort of replacing SIM
cards in the M2M devices would become unnecessary. Users and providers in this case would
simply buy M2M network services on the wholesale market.

Cellcom Israel Announces Filing of Supplemental Shelf Offering Report in Israel

Cellcom Israel Ltd. (NYSE: CEL) (TASE: CEL) (hereinafter: the "Company") announced
that, following the Company's previously announced possible debt raising in Israel, the
Company has filed today a supplemental shelf offering report, or Offering Report, with the
Israeli Securities Authority and the Tel Aviv Stock Exchange, or TASE. Pursuant to the
Offering Report the Company is offering, in Israel only, new series F debentures in an
aggregate principal amount of up to NIS 714,802,000, and new series G debentures in an
aggregate principal amount of up to NIS 285,198,000.
The series F and series G debentures are unsecured and contain standard terms and
conditions in addition to certain additional undertakings by the Company as detailed in
the Company's annual report for the year ended December 31, 2011, on Form 20-F, under
"Item 5 - Operating and Financial Review and Prospects - B. Liquidity and Capital
Resources - Debt Service - Shelf Prospectus". They will be listed for trade on the TASE.
The Company has received early commitments from institutional investors for the
purchase of the following:
- series F debentures in the aggregate principal amount of NIS 607,735,000,
at an interest rate of no more than 4.35% per annum, linked to the Israeli Consumer
Purchase Index. The series will be sold at par value (NIS 1,000 per unit); and
- series G debentures in the aggregate principal amount of NIS 235,198,000, an
interest rate no of more than 6.75% per annum, without linkage. The series will be
sold at par value (NIS 1,000 per unit).
In consideration for making early commitments, the institutional investors will
receive an early commitment commission in the amount of 0.6% for series F and 0.6% for
series G. The public tender for both series of debentures is expected to be held today.
The aggregate amount that the Company expects to pay in arrangement fees and other
expenses in connection with this offering (assuming total consideration of approximately
NIS 1 billion), including the aforesaid commitments, is approximately NIS 8.4 million. The
Company estimates that the net proceeds from the Offering, if completed, will be
approximately NIS 991.6 million, after deduction of the arrangers' fees and other
estimated expenses.
The Company intend to use the net proceeds from the offering for general corporate
purposes, which may include financing its operating and investment activity, refinancing
of outstanding debt under its debentures, and continued dividend distributions as
