50/50 Joint Venture will Merge all Newsweek Businesses and The Daily Beast's Digital Assets; Tina Brown to Serve as Editor-in-Chief

NEW YORK, Nov. 12, 2010 /PRNewswire-FirstCall/ -- Newsweek magazine and The Daily Beast, an operating company of IAC (Nasdaq: IACI), announced today they have agreed to merge their operations in a joint venture to be owned equally by Sidney Harman and IAC. 

The new entity will be called The Newsweek Daily Beast Company. The directors of the joint venture will include Dr. Harman as Executive Chairman, IAC Chairman Barry Diller, and one director each to be appointed from either side.

Dr. Harman, who acquired Newsweek magazine from the Washington Post Co. over the summer, said:  "In an admittedly challenging time, this merger provides the ideal combination of established journalism authority and bright, bristling website savvy. I like partnering with Barry Diller and I look forward to building our company with Tina Brown and Stephen Colvin."

Sidney Harman is Founder and Chairman Emeritus of Harman International, the worldwide audio manufacturer. He served as U.S. Deputy Secretary of Commerce, founded the Program on Technology, Public Policy and Human Development at Harvard University and holds a Presidential Chair at the University of Southern California where he is Professor of Polymathy. He is a trustee of the California Institute of Technology. He is the founder of the Harman Center for the Arts and of Sidney Harman Hall in Washington, D.C.

Tina Brown, a founding partner and Editor-in-Chief of The Daily Beast, will be Editor-in-Chief of both Newsweek magazine and The Daily Beast. The President of The Daily Beast, Stephen Colvin, will serve as CEO of the combined venture.

New Energy Acquires Kim Fai Solar Energy Technology Co. Ltd. for $24.0 Million in Stock and Seller Note

Acquisition expands New Energy's Anytone® and New Power product segments

Expected to be accretive to earnings

Acquisition price is 4.8x projected 2011 net income

Forecasted to generate $24.0 million of revenue and $5.0 million of net income in 2011

SHENZHEN, China, Nov. 12, 2010 /PRNewswire-Asia-FirstCall/ -- New Energy Systems Group (NYSE Amex: NEWN) ("New Energy" or the "Company"), a vertically integrated original design manufacturer and distributor of lithium ion batteries and backup power systems, today announced it has acquired Shenzhen-based Kim Fai Solar Energy Technology, Co. Ltd. ("Kim Fai") for $24.0 million, to be paid in stock and a seller note.  Kim Fai was established in 2005 and is a rapidly growing manufacturer of consumer, commercial and residential solar energy and battery systems including remote battery products for hand held communication and computing devices. 

The $24.0 million purchase price includes:  (i) approximately 1.9 million newly issued New Energy common shares (valued at $11.0 million, which is based on a value of $5.75 per share, which reflects the approximate price of the Company's stock when the two parties began negotiating) and (ii) $13.0 million interest-free seller note due in one year.   

The acquisition of Kim Fai is expected to generate approximately $24.0 million of revenue and $5.0 million of net income in 2011. Kim Fai is being acquired from parties that, prior to this announcement, are unrelated and unaffiliated with the Company in anyway.

Furthermore, we believe there will be meaningful synergies derived by combining Kim Fai into our existing operations, including our ability to sell Kim Fai's products through our existing distribution channels, by leveraging our combined research and development efforts and further reducing certain redundant manufacturing and SG&A costs.   One of our first priorities will be to expand our Anytone® solar-powered product offering with new technologies and consumer products using Kim Fai's solar power sources.  Importantly, all of Kim Fai senior management, including its President, Mr. Gong Wei, will continue to manage the company's day to day operations.  Kim Fai's management team is very well respected in the industry and we expect the acquisition integration to be seamless. Finally, we believe that the fact that the sellers request to be paid in large part in stock reflects their confidence in value creation which will occur from the new combined entity."

The approximately 1.9 million shares issued as part of this acquisition are restricted, unregistered shares sold pursuant to Reg S or Section 4(2) of the Securities Act of 1933 and are subject to the resale restriction of Rule 144 promulgated thereunder. New Energy currently has a significant cash balance, minimal debt and generates strong cash flow.  As a result, the Company expects to repay the seller note with cash flow from operations and will not need additional financing to meet this obligation.

Store Offers Hands-On, Interactive Retail Experience for Customers in Western New York

VICTOR, N.Y., Nov. 12, 2010 /PRNewswire/ -- As people's lives become increasingly mobile and fast-paced, and to address the growing demand for advanced wireless data products and services, AT&T* today announced the opening of a new wireless retail store in Victor.

"The opening of this new AT&T store is one more reason to shop locally," said New York State Senator Michael F. Nozzolio (R-Seneca Falls). "Combined with AT&T's recent investment in the state's broadband networks, the opening marks the continued effort to keep New York competitive and responsive while, at same time, providing our citizens with the best technology."

The store, located in the Eastview Mall, replaces AT&T's older location and has a state-of-the-art, hands-on design to engage customers and provide a "try before buy" service experience. Trained sales consultants will provide demonstrations of a wide range of wireless products. Shoppers can also test out various advanced wireless data applications including GPS navigation, mobile social networking or mobile television.

The Eastview Mall store is led by Eugene Kruglov and has a staff of seven employees who are trained to assist customers -- both business and consumer -- with purchasing decisions, customer service and technical support. Hours of operation are Monday through Saturday 10:00 a.m. - 9:30 p.m. and Sunday 11:00 a.m. - 6:00 p.m. 

The store will celebrate its grand opening today with a 10 a.m. ribbon cutting.

SANTA MONICA, Calif., Nov. 11, 2010 /PRNewswire-USNewswire/ -- Consumer Watchdog today asked the House Energy and Commerce Committee to hold hearings into Google's Wi-Spying because a ranking employee of the Internet giant gave testimony that contradicted known facts about the company's massive privacy invasion.

In a letter to Rep. Henry Waxman, (D-CA) chairman of the House Energy and Commerce Committee and Rep. Joe Barton, (R-Tex) ranking member, the nonprofit, nonpartisan public interest group said a Congressional hearing is necessary even though the Federal Communications Commission said it is investigating.

"CEO Eric Schmidt and Alma Whitten, director of privacy for engineering and product management, should testify under oath to provide the America public with the answers it deserves," wrote Jamie Court, Consumer Watchdog president and John M. Simpson, director of the group's Inside Google project.

"The best venue to get a full explanation under oath of what happened and its implications for a company whose entire business is based on gathering information about its users, is a Congressional hearing," the letter said. "Google has demonstrated a troubling pattern of changing its story in public statements as it has offered explanations of why it gathered private data from wireless networks. Moreover, it is clear that Whitten, who mentioned Google's Wi-Spying in Congressional testimony this summer, gave a written statement that contradicted the facts."

Whether Whitten's written testimony was a deliberate attempt to mislead or if it was inadvertent must be determined, Consumer Watchdog said. "Whitten's actions must be examined closely because in its effort to revamp its image and portray itself as a company concerned about consumers' privacy, Google has promoted her to director of privacy for engineering and product management," Court and Simpson wrote.

Here is what happened: On July 27, Ms. Whitten, then Google's lead privacy engineer, testified to a Senate Commerce Committee hearing about online privacy. She said that there was an "absence of any breach of personal data" as a result of the Wi-Spying activities, in which Google's Street View cars gathered information from private wireless networks. However, based on an investigation by the French National Commission on Computing and Liberty it was already clear in June there had been a breach of personal data.

"Google CEO Eric Schmidt should also be questioned under oath about the scandal," Court and Simpson wrote. "As chief executive he is ultimately responsible for the Internet giant's approach to privacy. He should have to explain what he means when he says Google's policy is to go 'right up to the creepy line.' We suspect that such a cavalier attitude toward consumers' privacy has much to do with creating the culture that encouraged Google's Wi-Spy intrusions."

The letter said Consumer Watchdog was pleased with the announcement from the Federal Communications Commission that it is investigating whether Google's actions broke federal wiretap laws. It added that the ongoing coordinated probe by 38 state attorneys general should reveal any state laws that the Wi-Spy activity broke. Nonetheless, a Congressional hearing is necessary, Consumer Watchdog said. It is the best venue to get a full explanation under oath of what happened and its implications for consumers is a Congressional hearing.

Consumer Watchdog has been working to protect consumers' online privacy rights and educate them about the issues through its Inside Google Project. The goal has been to convince Google of the social and economic importance of giving consumers control over their online lives. By persuading Google, the Internet's leading company, to adopt adequate guarantees, its policies could become the gold standard for privacy for the industry, potentially improving the performance of the entire online sector.

Organization Extends Partnership with Juniper Networks To Deploy its 100 Gbps Core Routers As First Milestone in Nationwide Network Upgrade

ANN ARBOR, Mich., Nov. 11, 2010 /PRNewswire/ -- Internet2 announced today it will begin deployment of a new, nationwide 100 Gigabit Ethernet (GigE) network that, once complete, will be one of the most sophisticated research and education network platforms ever built. The network will not only meet the current and future needs of the U.S. research and higher education community, but will also extend new capabilities to community anchor institutions nationwide.

In its creation of the world's first 100 GigE nationwide research network, Internet2 is extending its long-standing partnership with Juniper Networks and plans to incorporate the company's innovative 100 Gigabit per second (Gbps) core router technology across the entire backbone to increase the resiliency and core capacity of the network while achieving maximum operational and power efficiencies.

As part of its recently awarded federal stimulus grant from the National Telecommunications and Information Administration (NTIA), Internet2 is creating a nationwide high-capacity network that will enable advanced networking features for more than 200,000 essential community anchor institutions. This advanced, coast-to-coast network infrastructure will support the connection of community anchors--schools, libraries, community colleges, health centers and public safety organizations--to enable advanced uses of the network such as distance learning and telemedicine applications not possible using today's typical Internet service.

Just as importantly, the new network will have the capabilities needed to meet the emerging bandwidth demands of the research community especially as U.S. participation in large scale globally distributed science experiments like the Large Hadron Collider continues to rapidly grow.

In addition, Internet2 will leverage the investment protection and operational continuity Juniper Network provides through its T Series routers, allowing for easier upgrades and enabling the scaling of network capabilities both now and in the future.

Free mobile application, developed by global leader in currency data, provides real-time foreign exchange rates trusted by corporations, tax authorities, auditing firms, and financial institutions

NEW YORK, Nov. 11, 2010 /PRNewswire/ -- OANDA Corporation, provider of innovative online forex trading and the world's most accurate currency data, has developed a free currency conversion application for Microsoft's revamped mobile operating system, Windows Phone 7 (WP7), which was officially introduced October 11, 2010.

The OANDA Windows Phone 7 Currency Converter app is the first native app built by OANDA for the WP7 mobile platform. It provides access to currency data powered by OANDA Rates® -- the daily filtered rates relied on by multinational corporations, tax authorities, auditing firms, financial institutions, and central banks.

The app allows WP7 users to calculate foreign exchange rate conversions for more than 190 currencies and four metals. An innovative design displays both the "bid" and "ask" rates for each currency, and allows users to add percentages to their conversions for more realistic rates. For example, users can opt to convert currencies at the higher rates typically charged by banks and credit card companies, in addition to making conversions at the published interbank market rate.
