International Game Technology to Acquire Social Gaming Company Double Down Interactive

-Transaction propels IGT into a leadership position within social gaming

-Double Down is anticipated to contribute rapid user and revenue growth

-Combination allows IGT to leverage Facebook distribution channel

LAS VEGAS, Jan. 12, 2012 /PRNewswire/ -- International Game Technology (NYSE: IGT), the global leader in the design, development and manufacture of gaming machines and systems products, as well as online and mobile gaming solutions for regulated markets, has reached a definitive agreement to acquire Double Down Interactive LLC - a leading online social gaming company and developer of the popular DoubleDown(TM) Casino found on Facebook.

Launched in April 2010, the DoubleDown(TM) Casino is the world's largest virtual casino and one of the top 4 social media games in 2011 as rated by Facebook.  According to AppData.com, DoubleDown(TM) Casino currently has 4.7 million monthly active users, up from 3.3 million in October 2011. With a broad and expanding portfolio, Double Down offers blackjack, slots, slot tournaments, video poker, and roulette to social gamers all around the world.

The total consideration includes $250 million in cash, $85 million in retention payments over the next two years and up to $165 million in cash payable over the next three years subject to Double Down meeting certain financial performance targets.  IGT expects to fund the transaction from cash on hand.

The addition of Double Down provides IGT instant size and scale in the fast growing world of casino-style social gaming and is expected to broaden IGT's popular gaming titles beyond the physical casino to Facebook, the world's largest social network with over 800 million global users.  This powerful distribution model is anticipated to provide IGT an opportunity to entertain players with consistent, ubiquitous, thrilling gaming experiences across multiple platforms.

Berkery Noyes Releases 2011 Year End Online & Mobile Industry Mergers and Acquisitions Report

NEW YORK, Jan. 12, 2012 /PRNewswire/ -- Berkery Noyes, an independent middle market investment bank, today released its 2011 Full Year Mergers and Acquisitions Trend Report for the Online & Mobile Industry. The report analyzes the sector for 2011 and compares it with similar activity in 2009 and 2010.

Median revenue and EBITDA multiples increased from 2010 to 2011. The median revenue multiple went from 1.9x to 2.4x, a 26 percent rise, while the median EBITDA multiple increased from 11.4x to 12.5x. There were 1531 strategic transactions, an increase of 33 percent compared to 2010. Total volume in the Online & Mobile space increased 33 percent over 2010, from 1299 to 1723 transactions.

"M&A activity for social media and analytics companies continues to grow as a broader range of players seek to capitalize on this evolution in media and marketing communications," said Kathleen Thomas, Managing Director at Berkery Noyes. Application Period for New Internet Names Opens; IT Consulting Firm JAS Global Advisors Selected by ICANN as Evaluator

JAS, Ernst & Young, KPMG tabbed with reviewing applicants for historic expansion of Internet-naming system

CHICAGO, Jan. 12, 2012 /PRNewswire/ -- JAS Global Advisors, an information technology and security consulting firm, has been selected by the Internet Corporation for Assigned Names and Numbers (ICANN) to review applications for the new generic top-level domain (gTLD) program. As a part of ICANN's evaluation process, JAS Global Advisors will be responsible for ensuring that organizations seeking to register new top-level domains meet ICANN's stringent technical, operational and financial guidelines.

ICANN will start taking applications from organizations around the globe on Thursday at 12:01 a.m. Greenwich Mean Time.

ICANN's new gTLD program will allow organizations to apply for the right to manage their choice of custom top-level domains, resulting in an increase from the 22 generic domains such a .com and .org currently in use. A "top-level domain" is the part of a domain name to the right to the last "dot."

A wide range of applications from around the world is expected. Fortune 500 organizations have announced their intention to apply for dotBrand top-level domains. Global financial institutions have announced their intention to apply for dotBank. And there are a number of geographically-oriented applicants seeking dotCity top-level domains.

The program will also allow non-Western characters to be included in generic top-level domain names for the first time.

JAS Global Advisors, joined by fellow evaluator firms E&Y and KPMG, will ensure that applicants meet ICANN's stringent technical, operational and financial criteria -- just one component of ICANN's rigorous evaluation process. Once applicants are approved, they will then be responsible for marketing, selling and maintaining their chosen top-level domain. The selection of multiple evaluator firms ensures the integrity of the program in the event of a conflict of interest. It will also allow the program to scale to meet demand for new top-level domains.

SANTA CLARA, Calif., Jan. 12, 2012 /PRNewswire/ -- OmniVision Technologies, Inc. (NASDAQ: OVTI), a leading developer of advanced digital imaging solutions, today announced from the Consumer Electronics Show (CES) in Las Vegas the launch of its new 8-megapixel OV8825 CameraChip(TM) sensor, the first sensor to use the OmniBSI+ technology. OmniBSI+ represents the second-generation of OmniVision's original OmniBSI backside illumination technology, offering significant performance and image quality improvements over OmniBSI while maintaining a competitive cost structure. This makes the OV8825 a highly attractive option for smartphone and tablet manufacturers seeking to upgrade their camera designs from the previous generation sensor, the OV8820.

"Industry reports expect tablets to reach 250 million units globally by 2014(1), with a large portion of those using 8-megapixel cameras. Built on the new OmniBSI+ pixel architecture, the OV8825 offers many improvements over the OmniBSI-based OV8820, including a 60 percent increase in full-well capacity, a 10 percent increase in quantum efficiency and a 10 percent improvement in low-light sensitivity. This means that the OV8825 is able to capture dramatically improved images and video in both bright and low-light conditions.

The 1/3.2-inch, 8-megapixel OV8825 operates at 24 frames per second (FPS) in full resolution, and in full high-definition (HD) video mode at 30 or 60 FPS. The sensor's high frame rate also helps eliminate image lag for shutter-less designs, and enables continuous shooting, minimized rolling shutter effect and real-time image capture with no lag between resolutions. A high-speed, 4-lane MIPI interface facilitates the required high data transfer rate.

The OV8825's integrated scaler offers electronic image stabilization, and enables the sensor to maintain full field-of-view (FOV) with improved signal-to-noise performance in 1080p HD video mode at 30 FPS. The sensor's 2 x 2 binning functionality with a post-binning re-sampling filter function minimizes spatial artifacts and removes image artifacts around edges, delivering clean, crisp color images.

The OV8825 fits into the industry standard module size of 8.5 x 8.5 mm. It is now available for sampling and is expected to enter mass production in the second quarter of 2012.

China GrenTech Enters Into Definitive Agreement With Talenthome Management Limited and Xing Sheng Corporation Limited for "Going Private" Transaction

SHENZHEN, China, Jan. 12, 2012 /PRNewswire-Asia-FirstCall/ -- China GrenTech Corporation Limited (NASDAQ: GRRF, "GrenTech," or the "Company"), a leading China-based provider of radio frequency and wireless coverage products and services, today announced that it has entered into an agreement and plan of merger (the "Merger Agreement") with Talenthome Management Limited ("Parent"), a British Virgin Islands exempted company, and Xing Sheng Corporation Limited ("Merger Sub"), a Cayman Islands exempted company wholly-owned by Parent.  Parent is jointly owned indirectly by Mr. Yingjie Gao, the Company's Chairman and Chief Executive Officer, Ms. Rong Yu, the Company's Director and Chief Financial Officer, and Ms. Yin Huang (together, the "Buyer Group").  The Buyer Group collectively beneficially owns approximately 41.9% of the Company's issued and outstanding ordinary shares and intends to finance the merger and the other transactions contemplated by the Merger Agreement through proceeds from a loan facility in the amount of HK$320,000,000 from Guotai Junan Finance (Hong Kong) Limited. 

Pursuant to the Merger Agreement, (i) upon the terms and subject to the conditions set forth therein, at the effective time of the merger, Merger Sub will be merged with and into the Company and the Company will become a wholly-owned subsidiary of Parent, and (ii) each ordinary share of the Company (including ordinary shares represented by American Depositary Shares ("ADSs"), each of which represents 25 ordinary shares) issued and outstanding immediately prior to the effective time of the merger will be cancelled in exchange for the right to receive US$0.126 (or US$3.15 per ADS) in cash without interest, except for the ordinary shares (including ordinary shares represented by ADSs) (x) beneficially owned by the Buyer Group, which will be cancelled without receiving any consideration, and (y) owned by holders of such ordinary shares who have validly exercised and not effectively withdrawn or lost their appraisal rights pursuant to Section 238 of the Cayman Islands Companies Law, as amended.  This represents a 23.0% premium over the closing price as quoted by Bloomberg L.P. on November 11, 2011 and a 40.6% over the 60-trading day volume weighted average price as quoted by Bloomberg L.P. on November 11, 2011, the last trading day prior to the Company's announcement on November 14, 2011 that it had received a "going private" proposal.

The Company's Board of Directors, acting upon the unanimous recommendation of the Independent Committee formed by the Board of Directors, approved the Merger Agreement and the merger contemplated in the Merger Agreement and resolved to recommend that the Company's shareholders vote to approve and adopt the Merger Agreement and the merger.  The Independent Committee, which is composed solely of directors unrelated to Parent, Merger Sub or any of the management members of the Company, negotiated the terms of the Merger Agreement with the assistance of its financial and legal advisors. 

The merger contemplated in the Merger Agreement, which is currently expected to close before the end of the second quarter of 2012, is subject to the approval by an affirmative vote of shareholders representing two-thirds or more of the ordinary shares present and voting in person or by proxy at a meeting of the Company's shareholders which will be convened to consider the approval and adoption of the Merger Agreement and the merger, as well as certain other customary closing conditions.  The Buyer Group has agreed to vote to approve the Merger Agreement and the merger.  If completed, the merger will result in the Company becoming a privately-held company and its ADSs would no longer be listed on the NASDAQ Global Select Market.
