Taomee Holdings Limited Enters Into Definitive Merger Agreement For Going Private Transaction
SHANGHAI, Dec. 11, 2015 /PRNewswire/ -- Taomee Holdings Limited ("Taomee" or the "Company") (NYSE: TAOM), a leading children's entertainment and media company in China, today announced that it has entered into a definitive Agreement and Plan of Merger (the "Merger Agreement") with Orient TM Parent Limited ("Parent") and Orient TM Merger Limited ("Merger Sub"), a wholly-owned subsidiary of Parent.
Pursuant to the Merger Agreement, Parent will acquire the Company for cash consideration equal to US$0.1884 per ordinary share of the Company (each, a "Share") or US$3.767 per American depositary share of the Company, each representing 20 Shares (each, an "ADS"), in a transaction valuing the Company at approximately US$134.0 million. This represents a 25.99% premium over the Company's closing price of US$2.99 per ADS as quoted by the New York Stock Exchange (the "NYSE") on May 29, 2015, the last trading day prior to June 1, 2015, the date that the Company announced it had received a non-binding "going private" proposal, and a premium of 19.4% to the average closing price of the Company's ADS during the 30 trading days prior to May 29, 2015.
Immediately following the consummation of the merger contemplated by the Merger Agreement, Parent will be beneficially owned by:
1. an affiliate of Orient Ruide Capital Management (Shanghai) Co., Ltd. (the
"Sponsor"); and
2. Mr. Benson Haibing Wang, the co-founder, chief executive officer and a
director of the Company ("Mr. Wang"), Mr. Roc Yunpeng Cheng, the
co-founder, president and a director of the Company ("Mr. Cheng", and
together with Mr. Wang and the Sponsor, the "Buyer Group"), and Mr. Jason
Liqing Zeng, the chairman of the board of directors of the Company ("Mr.
Zeng"), who have elected to roll-over certain of their interests in the
Company in connection with the merger (the "Rollover Securities").
Subject to the terms and conditions of the Merger Agreement, at the effective time of the merger, Merger Sub will merge with and into the Company, with the Company continuing as the surviving corporation and a wholly-owned subsidiary of Parent, and each of the Shares (including Shares represented by ADSs) issued and outstanding immediately prior to the effective time of the merger will be cancelled and cease to exist in exchange for the right to receive US$0.1884 per Share or US$3.767 per ADS, in each case, in cash, without interest and net of any applicable withholding taxes, except for (i) Rollover Securities, Shares (including Shares represented by ADSs) beneficially owned by the Company or held by the Company as treasury shares or held by the Company's depositary that are reserved (but not yet allocated) by the Company for settlement upon exercise of any Company equity awards, and (ii) Shares owned by holders who have validly exercised and not effectively withdrawn or lost their rights to dissent from the Merger pursuant to Section 238 of the Companies Law of the Cayman Islands, which Shares will be cancelled at the effective time of the Merger for the right to receive the appraised value of such Shares determined in accordance with the provisions of Section 238 of the Companies Law of the Cayman Islands.
The Company's board of directors, acting upon the unanimous recommendation of the special committee formed by the board of directors (the "Special Committee"), approved the Merger Agreement, and resolved to recommend that the Company's shareholders vote to authorize and approve the Merger Agreement and the merger. The Special Committee, which is composed solely of independent directors of the Company who are unaffiliated with Parent, Merger Sub or any member of the Buyer Group or management of the Company, exclusively negotiated the terms of the Merger Agreement with the Buyer Group with the assistance of its independent financial and legal advisors.

AUBURN HILLS, Mich., Dec. 10, 2015 /PRNewswire/ -- The international automotive supplier Continental has developed a new generation of film technology for shading of car windows. The "Intelligent Glass Control" uses special films that are inserted into the glass and change transparency through electric control signals.
"The selective, incremental darkening of the side and rear windows, as well as parts of the windshield, not only offers considerably increased comfort for passengers, but also makes driving safer," said Andreas Wolf, head of Continental's Body & Security business unit. "When the sun is low over the horizon, the driver's hand instinctively goes from the steering wheel to the sun visor, which results in both impaired visibility and a brief decrease in control of the vehicle. In the future, such situations can be detected in advance and the windows could darken automatically before the event even occurs," Wolf said.
Darkening saves energy
By using these films, the solar radiation can be reduced more effectively than with other technologies. As a result, the heat is kept out of the vehicle, which can significantly reduce the interior temperature. This relieves the air conditioning unit, which can be smaller, more energy efficient and lighter. Furthermore, the weight of the sun visors and mechanical blinds are removed which all lead to positive effects on the environment.
"Our calculations have shown that the CO(2) emissions are reduced by a good four grams per kilometer thanks to these measures, ultimately increasing the range of electric vehicles by around 5.5 percent," Wolf said.
In addition to the reduced heat in the interior, the darkening also effectively enhances privacy. "If the vehicle is parked, the windows darken automatically, so the inside of the vehicle cannot be seen from the outside."
Intelligent Glass Control also gives designers new options. According to Wolf, the glass surfaces could be extended further, without having to cover certain areas mechanically. The available film still has a slightly blue shimmer, but Continental is expecting a broader range of colors in the future, opening up additional design possibilities. Other effects, from coupling light effects through energy recovery to touch screen functionalities, may also be possible.
Particles align under current
Films with embedded particles that can be aligned when a voltage is applied and can be used for targeted darkening of the window have been available for a long time. This technology has only been feasible in the roof area for a small number of high-end cars. Continental is demonstrating the intelligent activation of the "Suspended Particle Device" film technology also for side and rear windows and the windshield, which is a first for application in a test vehicle. Due to legal requirements this is only implemented in the permitted area of the sun visors.
"This production-ready film technology is based on embedded particles that arrange themselves randomly when unpowered and darken the window from the outside, while retaining transparency from the inside to the outside. Once a voltage is applied, the particles systematically align themselves in parallel, so that the window becomes permeable to light in both directions. The connection to the vehicle system enables the windows to lighten automatically when you approach the vehicle with a key or smartphone," Wolf said.
Even though the film is still rather cost-intensive for mid-range vehicles with large glazed areas, it is anticipated that the prices will quickly drop due to further promising developments with initial applications in the mobile area. Other alternatives to film technology are based on liquid crystal polymers or electrochromism. The latter uses the ability of molecules and crystals to change their optical properties under the influence of an electric field or a current flow. This technology is already deployed in the car in order to darken the interior and exterior mirror and prevent glare effects. The disadvantage of larger surfaces is the high energy requirement needed to achieve short switching times.
Control is what counts most
The technology that prevails is not crucial, as they all need to be controlled electronically. The essential know-how is in the software and the intelligent connection to the vehicle system.
"Today, it is just a question of when intelligent glass is coming. At Continental, we use our know-how for the entire system and can therefore integrate the desired functions into our electronic control units. We adjust the algorithms so that the behavior of the windows offers maximum safety and comfort for the driver, while improving emission values. Demand for Personalized Sound Presses Boutique Pedal Market Forward
Craftsmen pedal builders are setting up shop nationwide backed by musicians looking to play to their own unique tunes
CARLSBAD, Calif., Dec. 10, 2015 /PRNewswire-USNewswire/ -- Demand for customized, unique sound is driving fretted products and effects sales to a seven-year high, while fueling a new wave of boutique pedal builders. Over the last decade, the retail value of the effects pedal category has increased more than 45%, with a 13.7% gain in 2014.
Pedal builders will have a noticeably larger presence at the NAMM Show this January 21-24 as boutique brands including Strymon, Walrus Audio, Chase Bliss Audio and Dwarfcraft Devices join established brands Boss, Dunlop Manufacturing, Inc., Fender Musical Instruments Corporation, EarthQuaker Devices, Electro-Harmonix, Pigtronix, Seymour Duncan, TC Electronic and Wampler Pedals to debut new effects gear at the NAMM Show.
The emergence of hundreds of up-and-coming pedal brands can be traced to new technology and easier global distribution, of both ideas and components. Robert Keeley, founder of Keeley Electronics, Inc., has seen his Edmond, OK business double since 2012. It is now producing more than 2,000 units per month. "Our products are almost completely hand-built and we cater to a group of people who are in the market for specialty-purpose pedals," said Keeley. Big- name players including John Mayer, Jimmy Buffet and Dream Theater's John Petrucci are among those who have called on Keeley for customized pedals, with some of those pedals crossing over into a limited-edition commercial run.
Joel Korte, founder of Minnesota-based Chase Bliss Audio has seen sales double in the last year and adds, "Musicians like to experiment with sound using pedals because the experience is very visceral and pedals are hands-on and offer the artist control right away."
Affordability has also emerged as a major factor in the surge as artists add distortion, phasers and vibrato to their signature sound. The cottage industry of boutique pedal makers offers ways to tweak and discover sounds for an average price of $100-$400 dollars.
Many of these emerging builders, including Akron, Ohio's family-owned EarthQuaker Devices, have also focused on demonstrating their products for non-traditional pedal players, such as sax, synth and violin players. Julie Robbins of EarthQuaker Devices emphasizes that innovative, specialty-designed sound is a key factor in the company's success. "We answer the call of experimental musicians who love to create sounds that inspire them to go in new directions," said Robbins. "Some just want to recreate classic tones, while others use their pedals as a way to actually define their newest album, and we cater to both."
Demand is also up for pedals that couple long-lasting new technology with "old school" parts to create coveted "vintage" analog sounds. Pete Celi, co-founder of growing Southern California builder Strymon, says interest in vintage pedals has skyrocketed, including tape delays, vintage amp tremolos, pedals from the 70s, but he notes these originals can be unreliable on tour and prices make those purchases beyond the reach of most musicians. "This creates an opportunity for pedals that can capture those sought-after sounds and yet be conveniently and reliably used at gigs," said Celi.
Strymon employs a one-on-one strategy with musicians, regularly holding open-studio parties. Celi says the conversations are paying off. "We believe everybody is an artist."

SMIC and M31 Introduce Differentiated IP Solutions for Various Storage Controller Applications

SMIC and M31 Introduce Differentiated IP Solutions for Various Storage Controller Applications
SHANGHAI, Dec. 10, 2015 /PRNewswire/ -- Semiconductor Manufacturing International Corporation ("SMIC", NYSE: SMI; SEHK: 981), the largest and most advanced pure-play foundry provider in China, and M31 Technology Corporation, a professional silicon intellectual property (IP) provider jointly announced today that SMIC will expand its IP portfolio with M31's differentiated high speed interface IP solutions. The technology will target solid-state drive (SSD), Universal Flash Storage (UFS), and USB applications markets, and roll out a variety of IP solutions for storage controller applications. Based on SMIC's logic processes from 110nm to 28nm, the storage controller application platform is capable of providing products with low power consumption, high performance, and compact die size to customers; while at the same time bring more differentiated applications to SMIC's technology platforms.
SMIC has used M31 Technology's new generation PCIe 3.0 physical layer silicon IP on its 40nm low leakage process to provide leading edge products for the SSD market, and it has been tested with various controllers to demonstrate compliance with PCI-SIG specifications. In order to cope with the demand of various bandwidths, this IP provides 1 lane, 2 lane, and 4 lane options so that customers can develop chips for supporting PCIe 3.0 SSD. Furthermore, SMIC has decided to implement M31's PCIe 3.0 physical layer silicon IP on its 28nm advanced process. This IP solution will provide customers with higher-speed and more power-saving options for their products.
Since Universal Flash Storage (UFS 2.0) will become the mainstream specification for embedded memory devices, SMIC is using M31's MIPI M-PHY physical layer IP on its 55LL process to fulfill the market needs. This IP is designed for high bandwidth and low power consumption, with silicon verified on controller blocks from various partners, in compliance with UFS 2.0 systems. In addition, M31 plans to develop MIPI M-PHY physical layer IP on 28nm HK and 40nm LL process technologies as a next step. This IP will not only support dual channel technology but also has an exceptional power-saving sleep mode, a feature suitable for the new generation of mobile devices.
As for USB applications, M31's BCK (Built-in-Clock) technology provides a crystal-less solution for mobile applications. This solution, developed on 55nm/110nm processes, can help customers shorten the time to mass production. The new generation of BCK technology not only supports the traditional USB 1.1 / 2.0 / 3.0 devices, but also supports the input frequency 32.768KHz. It expands BCK technology to USB host applications and also meets the needs of IoT applications with its low power consumption.
With the popularity of Type-C interface, M31 Technology has developed USB3.1 / USB3.0 PHY IP on SMIC's 28nm and 40nm process. This solution also builds the external high-speed switch into the PHY IP based on customers' needs. This built-in technology supports non-directional plug-and-play and the detection of different configurations of VBUS, and has been successfully implemented in customers' SoC design.
